Terms of Service
In short
- Yemoko is a paid business service for people aged 18 and over; there is no free trial.
- You own your data. We use it only to run the service, never sell it and never train AI on it.
- Only the company owner can cancel, online in Settings, and access lasts until the paid period ends. Partial periods are not refunded.
- Online payments carry the provider’s fee plus Yemoko’s platform fee (for example 0.6% on a domestic card payment, 1% via Flutterwave or CinetPay).
- Yemoko is software, not a bank or tax adviser: check important figures before you file or pay them.
- Texas law applies; mandatory rights under your local law still apply.
This summary helps you find your way; the full text below is what applies.
These Terms are a contract between Yemoko LLC, a Texas limited liability company, and the business that signs up for Yemoko. By creating an account or using Yemoko, you agree to them.
1. The agreement and who may use Yemoko
1.1 Parties. "Yemoko", "we" and "us" mean Yemoko LLC, Texas, USA. "Customer" and "you" mean the business, organization or self-employed person that creates a company in Yemoko. "Users" are the people you invite to use Yemoko on your behalf.
1.2 Business use only. Yemoko is an accounting, invoicing, payments and payroll service for businesses. It is not offered for personal, family or household use.
1.3 Eligibility. Every user must be at least 18 years old. The person who accepts these Terms confirms that they have authority to bind the Customer.
1.4 Documents that form the agreement. These Terms incorporate, by reference: the Privacy Policy, the Data Processing Agreement, the Refund and Cancellation Policy, the Subprocessor List and, where signed, a Master Service Agreement. If they conflict, a signed Master Service Agreement prevails, then the Data Processing Agreement (for personal data), then these Terms.
2. Accounts, companies and users
2.1 Your company and its owner. Each company in Yemoko has an owner. The owner controls the subscription, invites and removes users, and assigns roles (owner, admin, manager, accountant, employee or viewer). You are responsible for everything your users do in your company.
2.2 Seats. Your plan limits how many users your company can have. You may not share one login between several people.
2.3 Sign-in security. Keep passwords and two-factor codes confidential, and turn on two-factor sign-in for users who handle payments or payroll. Tell us at support@yemoko.com as soon as you suspect unauthorized access.
2.4 Accurate information. Your company name, address, tax identifiers and contact details must be accurate and kept up to date. They appear on your invoices, tax forms and payment records.
3. Plans, billing and cancellation
3.1 Plans. Yemoko is sold as paid subscriptions (currently Starter, Business and Pro Enterprise), billed monthly or yearly in US dollars. Each plan's price, user limit and features are shown on yemoko.com/plans. There is no free trial.
3.2 Payment. Subscriptions are paid in advance by card through Stripe. By subscribing, you authorize us (through Stripe) to charge your payment method at the start of each billing period until you cancel.
3.3 Automatic renewal. Your subscription renews automatically for the same period (monthly or yearly) unless you cancel before the renewal date.
3.4 Cancellation. Only the company owner can cancel. The owner can cancel online at any time in Settings, under Subscription Plan, with the "Cancel at End of Period" button, or by emailing support@yemoko.com from the owner's email address. You can undo a cancellation in the same place until the period ends. Cancellation takes effect at the end of the current paid period; you keep full access until then. We do not refund unused time, partial months or partial years, except where the law requires it. The Refund and Cancellation Policy gives the details.
3.5 Upgrades and downgrades. An upgrade takes effect as soon as payment is confirmed; if you already pay for a plan, your card on file is charged the prorated difference for the rest of the current period. A downgrade takes effect immediately; Stripe credits the unused part of the higher plan against your future invoices, and that credit is not paid out in cash. A downgrade is blocked until your company is within the lower plan's limits, for example its number of users or API keys.
3.6 Failed payments. If a renewal payment fails, Stripe retries it for a period. While retries continue, your company stays available. If Stripe stops retrying, your company is suspended: users can sign in only to see the account status and pay. Paying the outstanding amount restores access. If the subscription is then cancelled, section 9 applies.
3.7 Taxes. Prices do not include taxes. You are responsible for any sales, use, value-added, goods and services or withholding tax on your subscription, other than taxes on our income.
3.8 Price changes. We will give at least 30 days' notice by email before a price increase. It applies from your next renewal, and you may cancel before then.
4. Your data
4.1 You own your data. "Customer Data" means everything you or your users put into Yemoko or connect to it: customers, vendors, invoices, bills, receipts, bank transactions, journal entries, employee and payroll records, files and signatures. You own it.
4.2 Our limited license. You allow Yemoko to host, copy, process, transmit and display Customer Data only as needed to provide, secure and support the service, to follow your instructions and to meet legal obligations. We do not sell Customer Data, and we do not use it to train AI models.
4.3 Personal data. When Customer Data includes personal data (for example your clients' contact details or your employees' pay and tax records), we process it as your processor under the Data Processing Agreement, which forms part of these Terms. Our Privacy Policy explains how we handle the personal data of users themselves.
4.4 Your responsibilities. You confirm that you have the right to put Customer Data into Yemoko, including any notices to and consents from your clients, vendors and employees that the law requires. Sensitive identifiers such as Social Security or tax numbers may be entered only in the fields designed for them, where Yemoko encrypts them.
4.5 Export. You can export transactions, receipts, employee records and pay stubs from Settings, and reports from the Reports pages, at any time while your company is active. On request to support@yemoko.com we will help with a fuller export.
4.6 Aggregated data. We may use de-identified, aggregated usage statistics (for example how often a feature is used) to run and improve Yemoko. They never identify you, your users or the people in your records.
5. Payments, bank connections and third-party services
5.1 Accepting invoice payments. If you let your clients pay invoices online, payments are processed by Stripe through Stripe Connect. To use this feature you must open a Stripe connected account and accept the Stripe Connected Account Agreement, which includes the Stripe Services Agreement. Stripe, not Yemoko, verifies your identity and pays out your funds. In Africa you can also accept mobile money, cards and bank transfers through Flutterwave or CinetPay once they are enabled for your company. Each needs your own merchant account with that provider and your acceptance of its terms; the provider, not Yemoko, verifies your business and settles your funds.
5.2 Payment fees, including Yemoko's platform fee. Every online payment your clients make through Yemoko carries a transaction fee in two parts: the payment provider's own processing fee, and Yemoko's platform fee for providing the payment service. The provider deducts the combined fee from the payment before paying out to you. Your subscription does not cover these fees. Current fees are below and are also shown in the app before you turn payments on.
| Payment type | Total fee you pay | Of which Yemoko's platform fee |
|---|---|---|
| Card (Stripe), domestic | 3.5% + US$0.30 per payment | 0.6% |
| Card (Stripe), international card | Add 1.5% | None (Stripe's surcharge, passed through) |
| Card (Stripe), currency conversion | Add 1% | None (Stripe's surcharge, passed through) |
| US bank debit (ACH, Stripe) | 0.9%, capped at US$7 per payment | 0.1%, up to US$2 |
| Instant bank verification (Stripe) | US$1.25 per verification | US$0.25 |
| Mobile money, cards and bank transfers (Flutterwave or CinetPay) | The provider's fee for the country and method, plus Yemoko's fee, never more than 4.5% of the payment in total | 1% (reduced if needed to respect the 4.5% cap) |
Platform fees on a payment that is later refunded or disputed are not returned. We may agree different fees in a signed Order Form. We will give at least 30 days' notice by email of any increase in Yemoko's platform fee; changes in a provider's own fee apply when that provider makes them.
5.3 Refunds, disputes and chargebacks. Payments to you through Stripe are made as destination charges, so Yemoko is the platform account for them. Whatever the provider (Stripe, Flutterwave or CinetPay), you are responsible for every refund, dispute, chargeback, reversal and related fee on payments to your business. You authorize Yemoko and the provider to recover those amounts from your provider balance or future payouts, and you will repay any shortfall within 15 days of our request.
5.4 Bank connections. You can link bank accounts through Plaid or Stripe Financial Connections. You sign in to your bank in their window, never in Yemoko, and their own terms and privacy notices apply, including Plaid's End User Privacy Policy. Bank feeds can be delayed, incomplete or interrupted by your bank; review imported transactions before relying on them.
5.5 Optional services. Flutterwave and CinetPay payments, automatic US sales tax (TaxJar) and EU VAT number checks (vatlayer) run only if you turn them on. The current providers are listed in the Subprocessor List.
5.6 Not a bank. Yemoko LLC is a software provider. It is not a bank, money transmitter, payment processor, payroll service provider or tax preparer. It does not hold your funds, pay your employees or file tax returns for you.
6. AI features
6.1 What the AI does. Yemoko can draft payment-reminder emails using Claude, an AI model provided by Anthropic, PBC. For each draft, Yemoko sends Anthropic only the facts of one overdue invoice: the client's name, your company name, the invoice number, the amount due and the days overdue.
6.2 You review before sending. AI drafts can contain mistakes. A draft is a suggestion: you decide whether to edit, send or discard it, and you are responsible for any message you send.
6.3 No training on your data. Neither Yemoko nor Anthropic uses the data sent for these drafts to train AI models.
7. Not professional advice
7.1 Tools, not advice. Yemoko calculates and organizes figures: invoices, sales tax, payroll withholding, depreciation, exchange rates, financial reports and tax forms. These results depend on the data and settings you enter and on published rates that change. They are not accounting, tax, legal, payroll or financial advice.
7.2 Your obligations stay yours. You remain responsible for your bookkeeping, tax returns and filings, payroll and employment obligations, and for keeping records for as long as your local law requires. Check important results with a qualified professional before you rely on them, file them or pay them.
8. Acceptable use, API access and sanctions
8.1 You must not:
- use Yemoko for fraud, money laundering, terrorist financing, tax evasion, or to issue false invoices or pay stubs;
- accept payments for goods or services that Stripe prohibits, or that are illegal where you or your clients are;
- send spam or harassing messages through Yemoko's email features;
- try to reach another company's data, test Yemoko's security without our written permission, or get around plan limits;
- overload, scrape, copy or reverse-engineer the service, or resell it without our written agreement;
- upload malware, or content that infringes someone else's rights.
8.2 API access. Plans that include the API let you create API keys. Keep them secret; you are responsible for every request made with your keys. We may limit request rates and revoke a key that is exposed or misused.
8.3 Sanctions and export controls. Yemoko is a US company and must follow US sanctions and export laws. You may not use Yemoko if you, or anyone who controls you, appear on a US government restricted-party list, or from a country or region under comprehensive US sanctions. You may not use Yemoko to deal with such persons or places.
9. Suspension, termination and deletion
9.1 Suspension. We may suspend a company, in whole or in part, if its payment fails as described in section 3.6, if it breaches section 8, if Stripe or a bank requires it, or if continuing would put Yemoko, other customers or the public at risk. When we can, we will notify the owner first and explain how to fix the problem. While suspended, users can sign in only to see the account status and pay.
9.2 Cancellation by you. You may cancel at any time under section 3.4.
9.3 Termination by us. We may end these Terms for your company with 30 days' notice for any reason, and then refund the unused part of any prepaid period. We may end them immediately, without refund, for a serious or repeated breach of section 8 or if the law requires it.
9.4 After cancellation. A cancelled company is locked: users can sign in only to see its status and resubscribe, so export your data before your paid period ends. If you need an export after that, ask support@yemoko.com within 30 days of cancellation. We keep its data for 12 months after cancellation, then may delete it after 30 days' notice to the owner.
9.5 Deleting your company. The owner can ask us to delete the company. It then enters a 30-day pending-deletion period, during which the owner can cancel the request. After 30 days, Customer Data is permanently deleted from the live database. Export what you need first: deleted data cannot be recovered.
9.6 What continues. Sections 4.6, 5.3, 7, 10, 11 and 12, and any amounts you owe, survive the end of these Terms.
10. Intellectual property and feedback
10.1 Ours. Yemoko LLC and its licensors own the Yemoko software, website, brand, documentation and everything else we provide, apart from Customer Data. While your subscription is active, you have a non-exclusive, non-transferable right for your users to use Yemoko for your internal business purposes under these Terms.
10.2 Feedback. If you send us suggestions, we may use them freely and without any obligation to you.
10.3 Your brand. Your logo and name stay yours. We will not list you publicly as a customer without your permission.
11. Warranties, limitation of liability and indemnity
11.1 Our commitment. We will provide Yemoko with reasonable skill and care, protect Customer Data with the measures described in our Security and Data Protection Policy, and not materially reduce the core features of your plan during a paid period.
11.2 Disclaimer. EXCEPT AS STATED IN SECTION 11.1, YEMOKO IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, YEMOKO LLC DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT PROMISE THAT YEMOKO WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DATA WILL NEVER BE LOST. KEEP YOUR OWN EXPORTS OF IMPORTANT RECORDS.
11.3 Excluded damages. TO THE FULLEST EXTENT THE LAW ALLOWS, NEITHER PARTY IS LIABLE FOR LOST PROFITS, REVENUE, GOODWILL OR DATA, OR FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, EVEN IF TOLD THEY WERE POSSIBLE. THIS INCLUDES TAX PENALTIES AND INTEREST ARISING FROM FIGURES PRODUCED IN YEMOKO.
11.4 Cap. TO THE FULLEST EXTENT THE LAW ALLOWS, YEMOKO LLC'S TOTAL LIABILITY UNDER THESE TERMS IS LIMITED TO THE SUBSCRIPTION FEES YOU PAID YEMOKO IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM. PAYMENT FEES DEDUCTED BY STRIPE ARE NOT SUBSCRIPTION FEES.
11.5 Exceptions. Sections 11.3 and 11.4 do not limit your payment obligations, your obligations under sections 5.3 and 11.6, or liability that the law does not allow to be limited, such as for fraud.
11.6 Your indemnity. You will defend and indemnify Yemoko LLC, its members and staff against third-party claims, fines and reasonable legal costs arising from Customer Data, your use of Yemoko in breach of these Terms or the law, or payments, refunds and disputes with your clients.
12. Law, disputes and general terms
12.1 Governing law. The laws of the State of Texas and applicable US federal law govern these Terms, without regard to conflict-of-law rules. The UN Convention on Contracts for the International Sale of Goods does not apply.
12.2 Talk to us first. Before starting a legal claim, email support@yemoko.com with a description of the dispute. We will both try in good faith to resolve it within 30 days.
12.3 Courts. Any claim that is not resolved goes exclusively to the state courts in Brazoria County, Texas, or the US District Court for the Southern District of Texas. Both parties consent to their jurisdiction. Either party may still seek urgent injunctive relief in any competent court.
12.4 Individual claims; no jury. Claims are brought only individually, not as a class or representative action. TO THE EXTENT THE LAW ALLOWS, BOTH PARTIES WAIVE THE RIGHT TO A JURY TRIAL.
12.5 Local law. If you are outside the United States, mandatory rights under your local law that cannot be waived by contract still apply.
12.6 Changes to these Terms. We will give at least 30 days' notice by email and in the app before a material change takes effect, and may ask users to accept the new version. If you do not agree, you may cancel before the change takes effect. Other changes take effect when posted. Each version shows its effective date.
12.7 Notices. We send notices to the owner's email address in Yemoko. Send notices to us at support@yemoko.com.
12.8 General.
- Assignment. You may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition or sale of assets, with notice to you.
- Events beyond control. Neither party is liable for delays caused by events beyond its reasonable control, including outages at hosting, payment or banking providers. Payment obligations are not excused.
- Entire agreement. These Terms and the documents in section 1.4 are the whole agreement and replace earlier discussions. Terms on your purchase orders do not apply.
- Severability and waiver. If a court finds a provision unenforceable, the rest stays in force. Not enforcing a right is not a waiver of it.
- Independent parties. The parties are independent contractors. Nothing creates a partnership, agency or employment relationship.
- Language. These Terms are written in English. A translation is for convenience; the English version controls.
